Agreement to these Terms
By accessing the website, requesting a proposal or using a service, you agree to these Terms and Conditions. If you act for a company or other organization, you confirm that you have authority to accept these Terms for that organization. If you do not agree, do not use the website or services.
A written proposal, scope confirmation, statement of work or other service document accepted by both parties may contain additional terms. If a direct conflict exists, the specifically negotiated service document controls for that engagement.
Business services
King Commodity Group provides AI-assisted procurement planning, supplier research and comparison, purchase-order coordination, inventory and supply planning, procurement data analysis, supplier performance monitoring, purchasing workflow management, supply cost and demand analysis, and related operational support.
The precise activities, deliverables, timing, assumptions, dependencies and fees for an engagement are determined by the selected plan or written scope. Examples and descriptions on the website explain general service categories and do not guarantee that every activity is included in every engagement.
Scope boundaries
Services are limited to research, organization, coordination, analysis and planning support. King Commodity Group does not provide banking, lending, escrow, brokerage, investment, tax, accounting or legal services; does not process customer payments; and does not operate a regulated commodities trading service.
Unless a signed document expressly states otherwise, King Commodity Group is not a buyer, seller, importer of record, exporter of record, customs broker, freight carrier, manufacturer, supplier or agent authorized to bind the client. The client remains responsible for purchase decisions, supplier selection, contracts, compliance, payment, receipt and use of goods.
Client responsibilities
The client must provide timely, accurate and complete information reasonably required for the service, including specifications, quantities, target dates, known restrictions, supplier history, internal approval requirements and relevant changes. The client is responsible for reviewing deliverables, asking questions and communicating corrections promptly.
The client must ensure that materials shared with King Commodity Group may lawfully be used for the engagement and do not infringe third-party rights or violate confidentiality obligations. Delays, omissions or inaccurate inputs may affect timing, pricing and the reliability of analysis.
Supplier research and information
Supplier information may be obtained from public sources, client records, supplier communications and third-party materials. Availability, pricing, capacity, lead time, certifications, insurance, product quality and commercial terms can change without notice. A comparison reflects the information reasonably available at the time it is prepared.
The client must independently verify material facts and complete any due diligence appropriate to its industry, risk profile and intended use. Inclusion in research or a comparison is not an endorsement, guarantee or certification of a supplier.
AI-supported tools and human review
AI-supported tools may be used to structure information, identify patterns, summarize documents and prepare draft analysis. Such tools can produce errors, omit context or rely on incomplete inputs. King Commodity Group applies human review appropriate to the agreed scope, but no automated or human process eliminates all error.
AI-generated or AI-assisted output is informational support. The client remains responsible for final review, decision-making and obtaining specialized advice where legal, engineering, safety, regulatory, financial or technical expertise is required.
Proposals, fees and pricing
Website prices are starting prices or defined plan prices for the stated scope. They may not include unusual volume, expedited work, travel, third-party charges, custom integrations, extensive data cleanup or services outside the listed inclusions. Any material additional work must be identified and approved before it is undertaken.
Payment timing, invoicing method and any applicable taxes are stated in the accepted proposal or invoice. King Commodity Group does not collect or hold funds intended for suppliers and does not process supplier payments for the client.
Scheduling and delivery
Any timeline is an estimate unless the applicable service document expressly identifies a binding deadline. Timing depends on client responsiveness, availability of source information, supplier response times and other circumstances outside reasonable control. We will communicate material scheduling changes when identified.
Electronic delivery is considered complete when a deliverable is made available through the agreed communication or file-sharing method. The client should review deliverables promptly and report apparent issues within a reasonable period.
Third parties
Suppliers, carriers, software providers and other third parties operate independently. Their acts, omissions, prices, availability, data, warranties and performance are outside the control of King Commodity Group. References to third parties are provided for procurement support and do not create a partnership or guarantee.
Any contract for goods or third-party services is between the client and the selected third party unless a separate written agreement clearly states otherwise.
Confidential information
Each party should use reasonable care to protect non-public business information received from the other party and use it only for the engagement or another authorized purpose. Confidential information does not include information that is publicly available through no breach, lawfully received without a duty of confidentiality, independently developed, or required to be disclosed by law.
More specific confidentiality terms may be included in a separate written agreement. The client should mark or otherwise identify especially sensitive information and should not submit unnecessary regulated or highly sensitive personal data.
Intellectual property and permitted use
King Commodity Group retains ownership of its pre-existing methods, templates, workflows, know-how, visual design, website materials and general tools. After payment of applicable fees, the client may use final engagement deliverables internally for its own business operations unless a service document provides a broader license.
The client retains ownership of its source materials. The client grants the limited permission necessary to use those materials to perform the agreed service. No party receives ownership of the other party’s trademarks or pre-existing intellectual property.
Website use
You may use the website for lawful business information and service inquiries. You may not interfere with security, probe systems without authorization, introduce harmful code, scrape the website at unreasonable volume, impersonate another person, submit deceptive requests, or use website content to misrepresent an affiliation.
We may restrict access when reasonably necessary to protect systems, users, rights or service availability.
Privacy and cookies
Information practices are described in the Privacy Policy and Cookie Policy. Those policies form part of the website terms. The on-page request form supplied with the website generates a local confirmation and does not transmit entered information unless the website owner later connects it to another service.
Cancellation and suspension
Cancellation, rescheduling, complaints and refund considerations are described in the Cancellation and Complaints Policy and any accepted service document. We may suspend work if required information is not provided, an invoice remains overdue, a request creates a legal or security concern, or continued performance would materially exceed the agreed scope.
Before suspension, we will ordinarily provide notice and a reasonable opportunity to address the issue when circumstances allow.
Disclaimers
Services and website materials are provided using reasonable care and professional judgment appropriate to the agreed scope. Except for express written commitments, they are provided “as is” and “as available.” To the maximum extent permitted by law, implied warranties of merchantability, fitness for a particular purpose, title and non-infringement are disclaimed.
King Commodity Group does not guarantee supplier acceptance, price savings, uninterrupted supply, delivery dates, inventory levels, regulatory approval, product quality or a particular business outcome.
Limitation of liability
To the maximum extent permitted by law, King Commodity Group will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss, or for lost profits, lost revenue, lost opportunity, lost data, supply interruption or third-party claims arising from a supplier or other independent third party.
Except for liability that cannot lawfully be limited, aggregate liability arising from a specific paid engagement will not exceed the fees paid for that engagement during the three months preceding the event giving rise to the claim. This allocation is part of the basis on which services and pricing are offered.
Indemnification
To the extent permitted by law, the client will defend and indemnify King Commodity Group against third-party claims arising from the client’s unlawful instructions, misuse of deliverables, breach of these Terms, violation of third-party rights, or goods and suppliers selected by the client, except to the extent caused by King Commodity Group’s own proven misconduct.
Events outside reasonable control
Neither party is responsible for delay caused by events outside reasonable control, including natural disasters, severe weather, utility or internet failures, labor disruptions, governmental actions, transportation interruption, supplier shutdown, widespread cyber incidents or public emergencies. The affected party should give reasonable notice and resume performance when practical.
Governing law and disputes
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles. Before filing a formal claim, the parties should attempt in good faith to resolve the matter through written notice and a reasonable discussion. Unless applicable law requires otherwise, courts with jurisdiction in Colorado will be the forum for unresolved disputes.
General terms
If a provision is found unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. Failure to enforce a provision is not a waiver. The client may not assign an engagement without consent where assignment would materially change risk or performance. Headings are for convenience and do not control interpretation.
We may update these Terms prospectively. The date above identifies the latest published version. Changes do not retroactively alter a signed service document unless both parties agree or applicable law requires the change.
